1. Scope and applicability
These Terms of Sale govern all offers, quotations, order confirmations and contracts for the sale of goods and services by Aviation and Survival Support AS (“A-SS”, “we”, “our”) to its customers (“Customer”, “you”). Any purchasing terms or conditions submitted by the Customer that conflict with these Terms are not accepted unless expressly agreed in writing.
2. Quotations and order acceptance
Quotations issued by A-SS are valid for thirty (30) days from the date of issue unless stated otherwise. A binding contract is formed only when A-SS issues a written order confirmation.
Orders for items subject to export control, end-use certification or government licensing may require additional documentation before they can be confirmed.
3. Prices and payment
Prices are quoted in EUR or NOK as specified in the relevant quotation, exclusive of VAT, duties and applicable taxes. Unless otherwise agreed, payment terms are net thirty (30) days from invoice date.
A-SS reserves the right to require advance payment, a letter of credit or another form of payment security for new customers, large orders or deliveries to certain jurisdictions.
4. Delivery and risk
Deliveries are made in accordance with Incoterms 2020 as specified in the order confirmation. Unless otherwise agreed, deliveries are FCA (Free Carrier) Barkåker, Norway. Risk of loss passes to the Customer at the agreed delivery point.
Stated delivery times are estimates based on the information available at the time of order confirmation. A-SS will notify the Customer promptly of any anticipated delay. Delays caused by force majeure, regulatory hold, manufacturer lead time or customer-induced changes are not grounds for cancellation or compensation.
5. Inspection and acceptance
The Customer shall inspect goods on receipt and notify A-SS in writing of any visible defects, missing items or transport damage within ten (10) business days. Hidden defects shall be reported within ten (10) business days of discovery and in any event within the warranty period.
6. Warranty
A-SS warrants that the goods supplied conform to the specifications stated in the order confirmation and are free from defects in materials and workmanship at the time of delivery. The warranty period is twelve (12) months from delivery, or such other period as is required by the applicable manufacturer warranty or regulatory standard.
The warranty does not cover wear-and-tear, misuse, unauthorised repair or modification, or damage caused by failure to follow operational and storage instructions.
7. Returns
Returns are accepted only with prior written authorisation from A-SS. Goods returned for credit must be unused, in original packaging, and accompanied by the Return Material Authorisation (RMA) number issued by A-SS.
Custom-configured items, controlled goods and items procured to order are non-returnable.
8. Liability
To the extent permitted by applicable law, A-SS’s aggregate liability under or in connection with any contract is limited to the contract price. A-SS shall not be liable for indirect, consequential or special damages, including loss of profit, loss of use or loss of contract.
9. Export control and end use
Products supplied may be subject to Norwegian, EU and other applicable export control regulations. The Customer is responsible for obtaining any required export, re-export or end-use authorisations and for complying with all applicable sanctions and trade restrictions.
10. Governing law and dispute resolution
These Terms and any contract formed under them are governed by Norwegian law. Disputes shall be resolved by the ordinary courts of Vestfold tingrett as the exclusive venue, unless the parties have agreed in writing to alternative arbitration.
